1) Did you try them with VLC player? It is sometimes able to play corrupted files or the ones you don't have codecs for.

I used Subtitle Workshop back when I liked to mess around with subtitles. Timing is a real hassle though. DivXLand Media Subtitler should work too. It's mostly select start and ending time and then type the line.
